General Terms and Conditions (GTC)
1. Scope of Application
These General Terms and Conditions apply to all services, deliveries, and offers of Netz Werk Engineering GmbH in the field of refinement, conversion, partial conversion, and the supply of components and materials for vehicle interiors. Deviating or supplementary terms of the customer shall only apply if we have agreed to them in writing.
2. Services
We refine vehicle interiors according to customer specifications, in particular through work with leather, Alcantara, stitching patterns, perforations, embossing, carbon components, and other bespoke finishes. The specific scope of services is defined in the quotation, order confirmation, or work contract.
3. Consultation, Quotations and Contract Formation
Consultation appointments serve to clarify requirements and coordinate materials. Unless otherwise stated, quotations are valid for 14 days. A contract is concluded as soon as the customer accepts a quotation in writing or we confirm the order in writing.
4. Transparency, Scope and Changes
We present the planned scope, materials, execution, and pricing to the customer in a transparent and comprehensible manner in the quotation. Any change requests after order confirmation are agreed upon in writing as an addendum before implementation. The customer is informed in advance about the impact on price, timeline, and feasibility. No changes will be carried out without the customer’s written approval.
5. Prices
All prices are stated in CHF, unless otherwise specified, and include the agreed services in accordance with the quotation. Unforeseen additional work will only be carried out after prior consultation and written approval by the customer. If hidden pre-existing damage becomes visible during disassembly, we will inform the customer with photos or videos and propose a solution.
6. Payment, Deposit and Security
Unless otherwise stated in the quotation, the following principles apply:
6.1 Payments: An appropriate down payment may be required upon order placement, particularly for special materials and custom-made items.
6.2 Partial Payments: For larger projects, partial payments may be agreed upon based on clearly defined milestones.
6.3 Final Payment: The final payment is due only after acceptance of the work, provided there are no significant defects.
6.4 No Unexpected Costs: Additional costs will only be charged if they have been approved in writing in advance.
7. Timelines, Duration and Delays
Timeframes and duration estimates are realistic planning values. Delays may occur due to material availability, delivery times, or unforeseen technical circumstances. We will inform the customer at an early stage. In the event of significant delays caused by us, the customer will be offered an appropriate solution, such as prioritization, interim updates, or adjusted scheduling. Statutory rights remain unaffected.
8. Vehicle Acceptance, Handover and Documentation
8.1 Condition Upon Acceptance: Upon acceptance of the vehicle, we document its current condition (photo or video). The customer may be present upon request.
8.2 Valuables: The customer must remove personal belongings prior to handing over the vehicle. We accept no liability for items left behind, except in cases of intent or gross negligence.
8.3 Test Drive: Test drives are conducted only if they are necessary for inspection and acceptance.
9. Material Selection, Samples and Color Variations
9.1 Selection: We use exclusively selected materials. The specific material line and finish are described in the quotation or any addendum.
9.2 Samples: Samples can be provided upon request to demonstrate texture and color appearance. Variations may occur due to lighting, cameras, screen display, or differences in surface structures.
9.3 Manufacturer Tolerances: Natural tolerances in leather and textiles do not constitute a defect, provided that the overall quality and visual appearance meet premium standards.
10. Acceptance, Final Inspection and Customer Satisfaction
10.1 Acceptance: Upon completion, a joint acceptance takes place. The customer inspects the work and confirms acceptance in writing or by taking delivery of the vehicle.
10.2 Follow-up Inspection: We recommend a follow-up inspection after 30 days or after 1,000 km to assess settling and material behavior. This follow-up inspection is free of additional labor costs, provided it is agreed upon in the quotation.
10.3 Rework: If defects are identified during acceptance or the follow-up inspection, we will remedy them within a reasonable period.
11. Warranty and Defect Rights
11.1 Warranty: The statutory provisions of the Swiss Code of Obligations shall apply, unless more customer-friendly terms are set out in the quotation.
11.2 Notification of Defects: The customer shall report any obvious defects in writing within 10 days after acceptance where possible. Hidden defects must be reported promptly upon discovery.
11.3 Rectification Prior to Withdrawal: In the event of justified defects, the customer is entitled to free rectification. Only if rectification is impossible or fails despite a reasonable period shall the statutory rights apply, such as a price reduction or rescission.
11.4 Exclusions: No warranty is provided for damage resulting from improper care, mechanical impact, accidents, third-party interference, or normal wear and tear.
12. Liability
We are liable for direct damages caused intentionally or through gross negligence. In cases of slight negligence, we are only liable for breaches of essential contractual obligations and only to the extent of the typically foreseeable damage. To the extent permitted by law, we accept no liability for indirect or consequential damages, including but not limited to loss of use, loss of profit, or diminution in value. Mandatory statutory provisions remain unaffected.
13. Insurance and Due Care in Handling the Vehicle
We handle the vehicle with the utmost care. While the vehicle is in our custody, it is stored in accordance with the highest standards. The customer is advised that specialty vehicles and one-off builds may carry particular risks. Upon request, we provide transparent information regarding storage conditions and protective measures.
14. Withdrawal, Cancellation and Suspension of the Project
14.1 Before Commencement of Work: The customer may cancel the order in writing before work commences. Any special materials already ordered and costs incurred will be documented transparently and invoiced.
14.2 After Commencement of Work: The customer may suspend or terminate the order for valid reasons. We will issue an interim invoice for services already rendered and material costs incurred. Unused, non-personalized standard materials will, where possible, be credited or returned.
14.3 Customer-Friendly Solution: In the event of a suspension, we always seek a fair and transparent solution. A cancellation fee will only be charged if it has been clearly agreed upon in the quotation.
15. Retention of Title and Return of Property
Until full payment has been made, all delivered materials and components remain our property to the extent permitted by law. The vehicle itself remains the property of the customer. The return of the vehicle may be withheld until undisputed claims have been settled, provided this is proportionate.
16. Shop, Products and Custom-Made Items
16.1 Standard Products: Standard products are subject to the specifications set out in the product description. Any transport damage must be reported immediately.
16.2 Custom-Made Items: Products manufactured to customer specifications or personalized items are generally excluded from return, except in cases of defects. The customer is clearly informed of this prior to purchase.
17. Care Instructions
Upon request, the customer will receive care recommendations for the installed materials. Damage caused by unsuitable cleaning agents, improper care, or extreme environmental influences is excluded from warranty.
18. Images and References
We use photo and video recordings of projects only with the customer’s consent. Upon request, we anonymize identifying features such as license plates, vehicle identification numbers, or personal details.
19. Data Protection
Personal data is processed exclusively for the execution of the contract, for communication purposes, and, where the customer has expressly consented, for marketing purposes. Further details can be found in the privacy policy.
20. Confidentiality
We treat project-related information, designs, and customer requirements as confidential. This applies in particular to one-off builds, custom-made items, and clients in the premium segment.
21. Governing Law and Jurisdiction
Swiss law shall apply. To the extent permitted by law, the place of jurisdiction is the registered office of Netz Werk Engineering GmbH. Mandatory consumer rights remain reserved.
22. Severability Clause
Should any provision of these Terms and Conditions be or become invalid, the validity of the remaining provisions shall remain unaffected. In place of the invalid provision, a regulation shall be deemed agreed that most closely reflects its economic purpose.
